Terms of Use

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent and warrant that you are 18 or older. Individuals under 18 are not permitted to create an account, access in-app communications, make bookings, or otherwise use the Services. We may request age-related confirmations, suspend accounts, or terminate accounts if we believe a user is under 18 or has misrepresented eligibility.

2. Privacy and Related Policies

Your use of the Services is also subject to our Privacy Policy, Booking, Cancellation, Refund, and Merchandise Order Policy (TODO: add link when file exists), Community Guidelines / Player Code of Conduct, Cookie Notice and Consent Mechanism (TODO: add link when file exists), and any additional policies presented through the Services. Each of those policies is incorporated into these Terms by reference.

3. The Services

LoveSport provides a technology platform that may allow users to:

• create player accounts and profiles, including sport-related profile attributes such as handedness and optional self-reported gender;
• indicate sport preferences, skill levels, availability, and location;
• find and connect with other players;
• discover clubs and facilities;
• book courts or request bookings;
• browse and purchase merchandise such as sports apparel, racquets, balls, shoes, and related goods;
• log scores and match results;
• participate in rankings, badges, and related community features; and
• communicate with us, clubs, and, where enabled, other users.

LoveSport is not a sports governing body, referee, coach, trainer, medical provider, venue owner, insurer, employer of venue staff, or guarantor of any match, booking, player conduct, facility condition, or athletic outcome.

4. Account Registration and Security

You may need to create an account to use certain features. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for:

• safeguarding your login credentials;
• all activity under your account;
• ensuring that any device used to access the Services is secure; and
• notifying us promptly of suspected unauthorized access.

We may suspend or terminate accounts that are inaccurate, fraudulent, unauthorized, inactive, abusive, or in violation of these Terms.

5. User Profiles, Matching, and Rankings

LoveSport may use information such as skill level, location, availability, match history, preferences, handedness, self-reported gender where applicable, and other inputs to generate recommendations, compatibility suggestions, rankings, badges, or similar outputs.

You acknowledge and agree that:

• recommendations, rankings, badges, and compatibility outputs are informational only;
• LoveSport does not guarantee accuracy, fairness, competitiveness, safety, or suitability of any match, opponent, teammate, or venue;
• self-reported and user-generated data may be incomplete, inaccurate, outdated, or misleading;
• LoveSport may change, suspend, remove, or reset scoring, ranking, badge, or matching features at any time; and
• rankings, badges, credits, promotions, and account status have no cash value and do not create vested rights.

6. Club, Facility, and Booking Terms

Clubs and facilities listed through the Services may be owned and operated by third parties. LoveSport does not own, manage, maintain, inspect, or control those venues unless expressly stated otherwise in writing.

LoveSport AI LLC is the merchant of record for bookings and merchandise purchases made through the Services. The booked court session, lesson, or venue access itself is provided at the participating club or facility, which independently operates the venue and remains responsible for its premises, staff, on-site rules, security, safety, and legal compliance.

If you make or request a booking through the Services, you understand that:

• venue availability, pricing, hours, rules, amenities, staffing, and court conditions may be determined by the applicable club or facility;
• venue information may change and may not always be current;
• clubs and facilities may impose their own waivers, rules, dress codes, membership requirements, cancellation terms, and conduct expectations, including booking-specific terms shown at checkout;
• LoveSport controls the checkout flow, booking confirmation process, and payment collection for platform bookings, but does not guarantee that any reservation will be honored if information supplied by a club, facility, or third-party integration is inaccurate or changes;
• clubs and facilities, not LoveSport, are responsible for the condition, maintenance, operation, staffing, security, and legal compliance of their premises, including courts, entrances, common areas, parking areas, lighting, and related amenities; and
• disputes about venue conditions, access, services, injuries, assaults, theft, property damage, or other on-site incidents may involve the applicable venue and or participants directly.

7. Payments, Refunds, Cancellations, and Merchandise Orders

Certain features may involve paid bookings, subscription fees, merchandise purchases, shipping fees, taxes, or other charges. By making a purchase or booking, you authorize LoveSport and the applicable payment processor to charge the selected payment method.

Unless otherwise stated at checkout or in a separate policy:

• prices are shown in the applicable currency and may exclude taxes, shipping, duties, or fees unless stated otherwise;
• payment processing may be handled by third parties such as Stripe and supported wallet providers;
• cancellations, no-shows, credits, and booking refunds are governed by the Booking, Cancellation, Refund, and Merchandise Order Policy and any booking-specific terms shown at checkout;
• for some requests outside the standard cancellation window, LoveSport may require approval from the relevant club or facility before processing any exception refund;
• merchandise availability, colors, sizes, descriptions, and pricing may change without notice, and LoveSport may limit quantities or cancel orders affected by inventory error, suspected fraud, pricing error, or fulfillment constraints;
• estimated shipping or delivery times are estimates only and are not guaranteed unless expressly stated;
• LoveSport may decline, cancel, reverse, or place a temporary hold on bookings or transactions where necessary for fraud prevention, operational issues, legal compliance, safety review, inventory issues, or error correction; and
• promotional credits, coupons, referral rewards, or similar incentives may be modified, suspended, revoked, or canceled if misused.

8. Safety, Athletics, and Assumption of Risk

Participation in tennis, padel, pickleball, and other athletic or recreational activities involves inherent risks, including physical exertion, injury, illness, equipment failure, collisions, weather risks, travel risks, risks arising from venue conditions, and risks arising from the conduct of other participants or third parties.

By using the Services to arrange or participate in matches, sessions, lessons, events, or bookings, you acknowledge and agree that:

• you voluntarily participate at your own risk;
• you are solely responsible for assessing your own health, fitness, skill, preparedness, and ability to participate;
• LoveSport does not perform medical screening, background screening, criminal screening, physical safety inspections, skill certification, or supervision of in-person activities unless expressly stated otherwise in writing;
• matches and games take place in real-world venues and public or semi-public spaces not controlled by LoveSport;
• LoveSport does not guarantee the identity, conduct, intentions, qualifications, or safety of any user, club, facility, coach, organizer, or other third party; and
• you are responsible for following all applicable laws, venue rules, and safety practices.

To the maximum extent permitted by law, you assume all risks associated with your participation in activities arranged through the Services.

9. Release

To the fullest extent permitted by law, you release LoveSport and its affiliates, officers, directors, employees, contractors, licensors, and agents from claims, demands, damages, losses, and liabilities arising out of or related to:

• interactions with other users;
• participation in matches or activities arranged through the Services;
• use of clubs, facilities, or third-party services;
• injuries, illness, assault, harassment, theft, property damage, disputes, or other incidents occurring before, during, or after a booking or match; and
• inaccurate listings, cancellations, no-shows, or service disruptions.

This release does not apply to liability that cannot be excluded under applicable law.

10. User Conduct

You agree not to:

• provide false, misleading, or inaccurate information;
• impersonate any person or entity;
• allow anyone under 18 to use your account;
• harass, stalk, threaten, discriminate against, exploit, or abuse other users or venue staff;
• upload or transmit unlawful, infringing, threatening, obscene, or harmful content;
• use the Services to seek, arrange, or facilitate illegal activity;
• scrape, crawl, copy, reverse engineer, or interfere with the Services;
• use bots or automated means to access or manipulate the Services without authorization;
• circumvent security or access controls;
• use the Services for spam, unauthorized advertising, or fraudulent purposes;
• manipulate scores, rankings, reports, badges, referrals, credits, or booking activity;
• violate venue rules or local laws; or
• use the Services in any manner that could harm LoveSport, users, clubs, or facilities.

We may investigate violations and take action including warning, content removal, booking cancellation, account suspension, or termination.

11. User Content and Communications

If you submit, upload, post, or transmit content through the Services, including avatar images, chat messages, match results, reports, or feedback ("User Content"), you represent and warrant that:

• you own or control the necessary rights to the User Content;
• the User Content does not violate any law or third-party right; and
• the User Content is accurate to the extent it purports to describe factual matters.

You grant LoveSport a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, display, distribute, and otherwise use your User Content as reasonably necessary to operate, secure, improve, and provide the Services.

You retain ownership of your User Content, subject to the license above.

12. Feedback

If you provide suggestions, ideas, or feedback regarding the Services, you grant us the unrestricted right to use that feedback without compensation or attribution.

13. Intellectual Property

The Services, including software, design, text, graphics, logos, trademarks, compilations, rankings systems, content arrangement, and related intellectual property, are owned by LoveSport or its licensors and are protected by law.

Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

14. Third-Party Services and Links

The Services may integrate with or link to third-party services, including app stores, mapping tools, wallet providers, payment processors, clubs, facilities, communications tools, analytics providers, advertising tools, and authentication providers. We are not responsible for third-party services, content, availability, policies, or acts or omissions.

15. Service Changes and Availability

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We do not guarantee that the Services or any feature will always be available, accurate, secure, or error-free.

16. Termination

You may stop using the Services at any time. We may suspend or terminate your access at any time if we believe you violated these Terms, created risk or potential legal exposure, engaged in fraud or abuse, or if we decide to discontinue the Services.

Sections that by their nature should survive termination will survive, including sections regarding payments, releases, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ANY MERCHANDISE OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, EXCEPT TO THE EXTENT A NON-WAIVABLE WARRANTY APPLIES UNDER LAW.

WITHOUT LIMITING THE FOREGOING, LOVESPORT DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SAFETY, QUALITY, AND THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR EXPECTATIONS.

LoveSport does not warrant or guarantee:

• the identity, behavior, skill, or reliability of other users;
• the quality, safety, legality, or suitability of any venue or activity;
• the availability or accuracy of listings, bookings, rankings, scores, or recommendations; or
• the outcome of any match, booking, purchase, or interaction.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOVESPORT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF LOVESPORT FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO LOVESPORT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD $100.

19. Indemnification

You agree to defend, indemnify, and hold harmless LoveSport and its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, losses, judgments, awards, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• your use of the Services;
• your User Content;
• your violation of these Terms;
• your violation of law or third-party rights; or
• your participation in any activity, match, booking, or interaction arranged through the Services.

20. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

Before starting a claim, the claimant must send written notice of the dispute to privacy@lovesport.ai and allow at least 30 days for informal resolution.

Except for qualifying matters that may be brought in small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration and not in court. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

The arbitration will be administered by the American Arbitration Association under its applicable consumer rules, except as modified by these Terms. If the AAA is unavailable or unwilling to administer the matter, LoveSport may propose another nationally recognized arbitration provider, subject to applicable law.

You and LoveSport agree that:

• arbitration will be conducted on an individual basis only;
• class actions, class arbitrations, representative actions, consolidated actions, and private-attorney-general-type proceedings are waived to the maximum extent permitted by law;
• the arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party's individual claim;
• if any portion of this class action waiver is found unenforceable for a particular claim or remedy, then that claim or remedy will be severed and may proceed in court, and the remaining claims will remain subject to arbitration to the maximum extent permitted by law; and
• either party may seek interim or provisional relief in a court of competent jurisdiction as necessary to protect rights pending arbitration.

Any arbitration hearing may be conducted remotely, in the county where you reside, or in another location required by applicable law or agreed by the parties.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, except to the extent consumer protection law requires otherwise. For any dispute not subject to arbitration, you agree that the state or federal courts located in Wilmington, Delaware will have exclusive jurisdiction, and you consent to personal jurisdiction there, except where prohibited by law.

22. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the Services or by other means. Your continued use of the Services after the updated Terms become effective means you accept the updated Terms.

23. General Terms

These Terms constitute the entire agreement between you and LoveSport regarding the Services, except for any separate written agreement between you and LoveSport.

If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
